지난달 초 SM 엔터 경영진은 주식 신규 발행 등을 통해 카카오가 9% 넘는 지분을 확보할 수 있도록 하는 결정을 내렸습니다.

인수가 확정되면 카카오는 SM의 2대 주주가 될 예정이었습니다.

그러자 당시 최대 주주였던 이수만 씨가 이 결정을 멈춰달라며 가처분 신청을 냈고, 법원이 이 씨의 손을 들어줬습니다.

재판부는 SM 경영진의 결정은 긴급한 자금조달 같은 경영상 목적이 아닌데도, 이 과정에서 이 씨를 비롯한 주주들의 의견을 반영하지 않은 만큼 주주의 이익을 침해할 수 있다고 판단했습니다.

법원 결정 직후 이수만 씨는 최선의 선택은 하이브였다는 입장문을 발표했습니다.

앞서 이 씨의 지분 등 모두 16%가량을 확보해 최대 주주가 됐지만, 추가 지분 확보에는 사실상 실패했던 하이브로서는 경쟁자인 카카오보다 유리한 위치에 서게 됐습니다.

지분이 전혀 없는 카카오가 경영권 확보에 나서기는 쉽지 않기 때문입니다.

다만 새 경영진을 뽑는 이달 말 SM 주총에서 60%에 이르는 소액주주들이 하이브 측의 손을 들어줄 지는 여전히 미지수입니다.

또 해외에서 1조 원 넘는 자금을 유치한 카카오가 주총 이후에도 계속 지분 확보에 나설 가능성도 있습니다.

Early last month, SM Entertainment executives decided to allow Kakao to secure more than 9% of its stake through new stock issuance.

Kakao was scheduled to become SM's second-largest shareholder once the acquisition was confirmed.

Then Lee Soo-man, the largest shareholder at the time, filed for an injunction to stop the decision, and the court ruled in favor of Lee.

The court judged that SM management's decision was not for management purposes such as urgent financing, but it could infringe on shareholders' interests as it did not reflect the opinions of Lee and other shareholders in the process.

Shortly after the court decision, Lee Soo-man issued a statement saying that the best option was Hive.

Previously, Lee's stake was secured about 16% to become the largest shareholder, but he was in an advantageous position over his rival Kakao, which had virtually failed to secure additional shares.

This is because it is not easy for Kakao, which has no stake at all, to secure management rights.

However, it remains to be seen whether up to 60% of minority shareholders will favor Hive at SM's shareholders' meeting at the end of this month when new management will be selected.

There is also a possibility that Kakao, which has attracted more than 1 trillion won from overseas, will continue to secure stakes after the shareholders' meeting.
